Set up a Costa Rica company
Companies in Costa Rica may be established as corporations (Sociedad Anonima, S.A.) or limited liability companies (Sociedad de Responsabilidad Limitada, SRL).
Corporations are the common company limited by shares. Ownership is divided into shares which can be freely transferred. There is no minimum share capital other than issuing at least two shares at the time of incorporation. The share capital may be denominated in any currency.
The minimum number of constituent shareholders to form the corporation are two, but shares from the second shareholder can be transferred to a single-shareholder entity right after incorporation.
Shareholders can be foreigners and can be nonresidents.
The company is managed by the board of directors which must be composed at least by three persons, acting as president, secretary or treasurer.
Limited liability companies’ ownership is dividend into quotas. There is no minimum capital other than 0. The capital must be denominated in Costa Rican colones (CRC)
The company may be formed by 1 member (cuotista).
The company is managed by one or more managers (gerente).
Both managers and members can be foreigners and nonresidents.

Time to form
The company is incorporated by executing the deed of incorporation and articles of incorporation before a civil law notary commissioned in Costa Rica. Subsequently, the notarized public deed and articles are filed with the Mercantile Section of the Public Registry. The post-incorporation documents (general assembly register, board of directors register, resolutions and certificates) are prepared upon registration with the Public Registry. The procedure takes around 2 weeks generally.
